1. Definitions
- "You" means the individual using the Services.
- "Content" means text, photos, notes, logs, reminders, schedules, and other materials.
- "User Content" means Content you submit or generate through the Services.
- "Third-Party Services" means external providers (e.g., retailers, recall sources, analytics, notification providers).
2. Description of Services
PetThrive provides tools to help pet owners:
- Track supplement administration and schedules
- Record observations, health conditions, and feedback
- Build streaks and receive reminders
- Compare supplement prices across retailers
- View information about pet-related recalls and local events
Third-Party Data Notice: Information on recalls, events, pricing, availability, and other third-party data is sourced externally and may be delayed, incomplete, inaccurate, or unavailable. We do not guarantee its correctness, timeliness, or completeness.
We may modify, suspend, or discontinue any feature at any time as described in Section 12.
3. Eligibility
You must be at least 13 years old to use the Services. Users under 18 must have consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf.
4. Accounts and Security
Certain features require an account. You agree to provide accurate information, keep your password confidential, and notify us immediately of any unauthorized access.
You are responsible for activity under your account except where caused solely by our failure to maintain reasonable security measures.
5. User Responsibilities and Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Bypass security, reverse engineer (except as permitted by law), or access restricted areas
- Interfere with the Services or other users
- Upload harmful, infringing, illegal, or offensive material
- Use the Services for unauthorized commercial purposes
- Misrepresent or impersonate others
You will not represent PetThrive's features, insights, or outputs as veterinary or medical advice.
6. Health and Safety Disclaimer
IMPORTANT: PetThrive is for informational and organizational purposes only and is not a substitute for professional veterinary care.
The Services do not provide veterinary, medical, diagnostic, or treatment advice. We do not endorse or guarantee the safety, effectiveness, or suitability of any supplement, product, or treatment. Third-party information may be general, incomplete, or outdated.
Emergencies: Do not use the Services for urgent situations. Contact a licensed veterinarian or emergency clinic immediately if your pet needs urgent care.
Recall Information
FDA recall data and health alerts are provided for informational purposes only. We do not guarantee completeness or timeliness of recall notifications. Always verify recall status directly with manufacturers or the FDA.
You use the Services entirely at your own risk.
7. Affiliate Links and Price Comparison
The Services may include affiliate links to third-party retailers (such as Amazon, Chewy, and Walmart). When you make purchases through these links:
- We may receive a commission at no extra cost to you
- Prices, availability, and product information are provided by retailers and may change or be inaccurate
- Your purchases are governed solely by the retailer's terms
Affiliate relationships are disclosed in compliance with applicable laws, including FTC guidelines.
8. Privacy
Our Privacy Policy explains our data practices and is incorporated into these Terms. By using the Services, you consent to those practices.
9. AI/ML Training and Improvement
We may use AI/ML to enhance features (e.g., reminders, insights, categorization).
To operate, develop, and improve the Services, we may use usage data and User Content to train and evaluate AI/ML models. Where feasible, we use de-identified or aggregated data and apply privacy safeguards.
Opt-Out: You may opt out of using your User Content for AI/ML training via App settings (if available) or by emailing hello@petthrive.app. Opting out may limit certain AI-driven features.
We may still use data as necessary to provide the Services, ensure security, or comply with law.
10. Intellectual Property
10.1 Our Property
The Services and their content (excluding User Content) are owned by us or our licensors and protected by intellectual property laws. You receive a limited, revocable, non-transferable license for personal, non-commercial use.
10.2 Your Content
You own your User Content. You grant us a worldwide, royalty-free, perpetual license to use, store, display, and process User Content as necessary to:
- (a) Provide the Services;
- (b) Improve the Services, including AI/ML training as described in Section 9 (subject to your opt-out rights); and
- (c) Create aggregated, de-identified insights and datasets that do not identify you or your pets, which we may use, license, or sell to third parties including supplement manufacturers, pet health researchers, and veterinary organizations as described in our Privacy Policy.
We will not use identifiable User Content (e.g., pet photos, pet names) for marketing or sell any information that directly identifies you or your pets without your explicit consent.
11. Third-Party Services
We are not responsible for Third-Party Services linked or integrated with the Services. Your use of third-party services is subject to their own terms and privacy policies.
12. Changes, Availability, and Termination
We may update or discontinue features at any time.
12.1 Termination by You
Delete your account via the App settings or by contacting us at hello@petthrive.app. We will delete your personal data as described in our Privacy Policy, subject to legal retention requirements and backup copies which will be deleted within 90 days of account deletion.
12.2 Termination by Us
We may suspend or terminate access for violations of these Terms or risks to the Services, other users, or third parties.
13. Subscriptions and Purchases
If offered, paid features will display pricing and terms at purchase. Subscriptions auto-renew unless canceled before the renewal date. Billing and refunds follow platform (Apple/Google) policies.
14. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, profits, or goodwill.
Our total liability is limited to the greater of: (a) amounts you paid us in the prior 12 months, or (b) $100 USD.
This limitation does not apply to liability arising from our gross negligence, willful misconduct, or fraud, or to the extent prohibited by applicable law.
16. Indemnification
You agree to indemnify and hold us harmless from third-party claims arising from:
- Your willful violation of these Terms
- Your unlawful use of the Services
- Infringement caused by your User Content
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before filing any claim, contact us first at hello@petthrive.app. We will attempt to resolve the dispute informally within 60 days.
17.2 Small Claims
Either party may bring qualifying claims in small claims court.
17.3 Binding Arbitration
Other disputes will be resolved by individual binding arbitration under AAA Consumer Arbitration Rules. Arbitration will be conducted virtually by default; in-person hearings (if necessary) will be held in a mutually convenient location.
The arbitrator may award the same relief as a court. The arbitrator's decision is final and binding. Each party bears its own costs; filing fees follow AAA Consumer Rules. If AAA is unavailable, parties will mutually select an alternative arbitration forum.
17.4 Opt-Out
You may opt out of arbitration within 30 days of first using the Services by emailing hello@petthrive.app with your name and statement that you opt out of the arbitration agreement.
18. Class Action Waiver
All disputes must be brought in your individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles, except where mandatory local consumer protection laws override.
Court proceedings (if permitted) will be in Delaware unless applicable law requires otherwise.
20. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via in-app notice or email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. Material changes may require your affirmative acceptance before you can continue using the Services.
21. Platform-Specific Terms
21.1 Apple App Store
If you download the App from the Apple App Store:
- These Terms are between you and PetThrive, not Apple Inc.
- Apple has no obligation to provide maintenance or support for the App
- Apple is not responsible for addressing any claims relating to the App
- Apple is not responsible for any third-party claims that the App infringes intellectual property rights
- Apple is a third-party beneficiary of these Terms and may enforce them against you
- You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government prohibited or restricted party list
21.2 Google Play Store
If you download the App from Google Play:
- These Terms are between you and PetThrive, not Google LLC
- Google has no obligation to provide maintenance, support, or warranty for the App
- You acknowledge that the App complies with Google Play's Developer Program Policies
22. General Provisions
22.1 Severability
If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remaining provisions will continue in full force and effect.
22.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PetThrive regarding the Services and supersede all prior agreements.
22.3 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
22.4 Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision in the future.
22.5 Notices
We may provide notices to you via email (to the address associated with your account) or through in-app notifications. Notices are effective upon sending.
23. Force Majeure
We are not liable for any delay or failure to perform our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, civil unrest, cyber attacks, or infrastructure failures.
24. Export Compliance
You agree to comply with all applicable U.S. and international export laws and regulations. You represent that you are not located in a country subject to U.S. government embargo, and you are not on any U.S. government restricted party list.
